the undersigned, being an Owner/Member of the SMR Homeowners'
Association, Inc., do hereby appoint Rand Spiwak as my true
and lawful attorney-in-fact, with power of substitution, for
me and in my behalf, to vote my vote for the following Board
of Directors candidates, in his or her sole discretion (unless
as specifically otherwise provided for herein), at the SMR Homeowners'
Association, Inc. Annual Meeting to be held Saturday, August
27, 2005 at 10:00 a.m. to 11:00 a.m., or subsequent Special
Meeting if requested, with all the powers I should possess if
personally present. I have the power and authority to cast 1
